End User License Agreement (EULA)

This End User License Agreement ("Agreement") is between you ("Customer", "You") and Grover Ecommerce Private Limited ("Grovcom", "we", "us"). By accessing or using the DataFetch application (the "Application"), you accept and agree to be bound by this Agreement. If you do not agree, do not use the Application.

1. License Grant

Subject to your compliance with this Agreement and applicable Amazon policies, Grovcom grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely to provide shipping and fulfillment services for Amazon orders, including:

• Generate shipping labels and carrier manifests;
• Validate and standardize buyer delivery addresses;
• Update shipment status, dispatch confirmations and tracking to Amazon;
• Resolve delivery exceptions required for order fulfillment;
• Use Amazon-provided buyer data only as permitted by Amazon SP-API and Amazon policy.

2. Permitted Use of Amazon Information

Amazon-provided Personally Identifiable Information (PII) — such as buyer name, address and phone number — may be used only to perform the shipping and fulfillment functions above. You must not use Amazon PII for marketing, profiling, analytics, resale, or any purpose outside the permitted shipping workflow.

3. Restrictions

• You will not copy, modify, distribute, sublicense, transfer, or lease the Application.
• You will not reverse-engineer, decompile, or attempt to extract source code.
• You will not share API credentials, SP-API tokens, or restricted access with unauthorized third parties.
• You will comply with Amazon's SP-API Data Protection Policy and Solution Provider requirements.

4. Data Protection & Security

You are responsible for protecting all credentials and Amazon data in accordance with Amazon policies. Personal data accessed for shipping operations must be stored and transmitted securely (encryption in transit and at rest), retained only as permitted, and deleted when no longer required by the shipping process or by law.

5. Termination

We may terminate this Agreement and your license immediately for material breach, misuse of Amazon data, or violation of Amazon policies. Upon termination you must cease use of the Application and remove Amazon data from your systems in accordance with applicable retention/deletion rules.

6. Warranty Disclaimer

The Application is provided "as is" without warranties. To the maximum extent permitted by law, Grovcom disclaims all warranties, whether express, implied or statutory.

7. Limitation of Liability

Except where prohibited by law, Grovcom will not be liable for indirect, incidental, special or consequential damages. Grovcom's aggregate liability is limited to the greater of (a) amounts paid to Grovcom for the Application in the prior 12 months or (b) fifty USD (US$50).

8. Indemnity

You agree to indemnify and hold Grovcom harmless against claims arising from your misuse of the Application, violations of this Agreement, or failure to comply with Amazon requirements.

9. Governing Law

This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Delhi, India.
